Why does the lease matter so much in a dental practice sale?
A buyer pays for a going concern at a specific address, so the lease carries much of the value. Your Dental Lawyer says much of a practice’s value is tied to the lease, and that a buyer steps into the seller’s shoes as tenant through an assignment. The lease, not the purchase agreement, sets the rules.
Some leases forbid assignment outright; more allow it with the landlord’s consent. In a stock purchase the tenant entity stays the same, but many leases treat a change in ownership of the tenant as an assignment that still needs consent. The preparing to sell checklist puts the lease review early for this reason.
Which lease clauses most often stall a dental sale?
Four clauses do most of the damage: recapture, personal renewal options, profit sharing and change of control. Dentistry Insured warns a recapture clause can let the landlord cancel the lease once you ask to assign, and that renewal options may be personal to you. JRA Healthcare notes some leases let the landlord take a share of sale proceeds.
A buyer who loses the lease loses the practice’s location and, usually, the financing. Read the assignment section, the renewal options and any fee or profit-share language before you go to market, and list what needs a waiver or an amendment.
How does lease length affect price and financing?
Lease length moves both. Dentistry Insured says lenders typically require the lease to outlast the loan, often 7 to 10 years. McLerran & Associates lists a lease with 5 or more years remaining and reasonable renewals as a factor that supports a DSO multiple, and fewer than 5 years on the primary lease as one that compresses it.
Buyers financing with an SBA 7(a) or conventional loan face their lender’s requirements on lease term; see financing a practice acquisition. Pricing context is in practice valuation multiples. The lease is one of several post-close commitments a seller negotiates, alongside the non-compete after a sale.
Do I stay liable on the lease after it is assigned?
You may. JRA Healthcare warns that a personal guarantee on a lease can last even after the lease moves to a new tenant. Ask counsel to negotiate a release of your guarantee as part of the assignment, or at least a cap and an end date, and confirm whether the original tenant entity stays liable too.
If you own the building, the analysis changes: a sale may come with a new lease from you as landlord, which affects rent and long-term value. Coordinate that with your exit options.
When should a seller start working on the lease?
Start at your next renewal, which may be years before a sale. Dentistry Insured recommends negotiating early for assignment rights and renewal options that pass to a licensed dentist who buys the practice, plus lender-friendly terms. Within two years of a likely sale, have counsel list every consent, fee and guarantee issue in the current lease.
Build landlord consent into the closing conditions so neither side has to close without it. Buyer types differ in what they ask of a landlord; a DSO may bring its own lease form, which matters in markets like those covered in selling a Medicaid-heavy practice. Market timing is tracked through dental transition signals.
Frequently asked questions
Do I need landlord consent to sell my dental practice?
Usually, if the buyer will take over your lease. Most commercial leases require consent to assign, and many treat a change of ownership as an assignment.
What is a recapture clause?
A lease clause that can let the landlord end the lease when the tenant asks to assign it, instead of approving the assignment.
Can my renewal options transfer to the buyer?
Only if the lease allows it. Some options are personal to the original tenant, which can create financing problems for a buyer.
Can a landlord take part of my sale proceeds?
Some leases include profit-sharing or fee provisions on assignment, so review the lease well before going to market.
Will I still be liable after closing?
Possibly, through a personal guarantee or continuing tenant liability. Negotiate a release as part of the assignment.
