Why do DSO buyers care so much about associates?
Because they plan to keep the practice producing after the seller steps back. TUSK Practice Sales named provider risk and clinical continuity the top reason DSOs walked from deals in 2026: over-reliance on a single producer, uncertain transition coverage or thin staffing depth. Buyers discount offers for shorter post-close commitments.
An associate team that will stay is part of what makes earnings transferable. The broader screen is in what DSOs look for when buying a practice.
How much can provider concentration lower value?
It can be material. Glacier Lake Partners calls provider concentration the biggest risk factor in dental practice M&A and says a practice where one associate produces 60% of collections can face a key-person discount of 15% to 25% of enterprise value. That is one firm’s published range, not a national measure.
The same reasoning applies when the owner is the single producer, which is why buyers ask how production will be covered after closing. Published price ranges are tracked on practice valuation multiples.
What do buyers review about associates in diligence?
The paper and the people. Expect requests for associate employment agreements, compensation formulas, tenure, production by provider, restrictive covenants and any promises of equity or a buy-in. Unwritten promises of a future partnership are a warning sign, because they can turn into disputes or departures at closing.
Diligence basics are in the due diligence entry, and how buyers rebuild earnings around provider pay is in SDE versus EBITDA.
What happens to the seller if associates leave after closing?
Earn-outs and equity can suffer. Marti Law Group says DSOs typically want sellers employed for a minimum of two to three years, with up to five becoming common, and tie an earn-out component to that term. If production falls because associates leave, payments tied to post-close performance can fall too.
See earn-outs and holdbacks and the work-back period. Allocation of the price between the seller personally and the practice is covered in personal versus practice goodwill.
How do buyers and sellers keep associates through a sale?
With communication, pay and a path forward. Common tools are retention bonuses paid after a set period, refreshed employment agreements, clinical autonomy commitments and, in some groups, an equity path. Workforce trends help: ADA News reported that more than one in four dentists up to ten years out of school were DSO-affiliated in 2024.
Across all career stages the ADA Health Policy Institute counted 16.1% of dentists as DSO-affiliated in 2024, so most dentists still practice outside DSOs. The career side is in how an associate becomes an owner; workforce context is in dentist age distribution and on the signals hub.
Frequently asked questions
Do associates usually stay after a DSO buys a practice?
Outcomes vary by practice and buyer. Buyers underwrite continuity carefully and often use retention bonuses and new agreements.
Why does provider concentration lower the price?
If one producer generates most collections, losing that person can sharply cut earnings, and buyers price that risk.
Will a DSO require associates to sign new agreements?
Buyers usually review associate agreements and may make updated agreements a condition of closing.
Are newer dentists more likely to work for DSOs?
Yes. ADA data show far higher DSO affiliation among dentists in their first ten years of practice than among older dentists.
Can associate departures affect my earn-out?
Yes. Earn-outs tied to post-close production or EBITDA can fall if associates leave.
Does DDSIntel track individual associates?
No. DDSIntel publishes aggregate data only and never profiles individual dentists or practices.
