Is dental M&A slowing down in 2026?

Healthcare M&A slowed in 2026, with Levin Associates counting 459 announced deals in Q2 2026, roughly 23% fewer than a year earlier, yet dental remained the most active specialty with 54 deals. Buyers are still active but more selective, as the dental market data and practice valuation multiples show.

Key numbers

How many dental deals did Levin Associates count in 2026?

Levin Associates counted 54 dental transactions in Q2 2026, making dental the most popular specialty among investors, ahead of internal medicine at 7 and pediatrics at 6. These are publicly announced deals in Levin’s database, so many private sales between individual dentists never appear in the count.

A third-quarter 2026 dental count was reported in the trade press in October 2026. DDSIntel will add it here once the figure can be confirmed in Levin Associates’ own release.

Is healthcare M&A slowing overall?

Yes, across healthcare as a whole. Levin Associates counted 459 announced healthcare transactions in Q2 2026, down from 553 in Q1 2026 and roughly 23% below the 503 deals of Q2 2025. Physician medical groups led all sectors with 106 deals, and dental was the most popular specialty among investors.

How does a deal count compare with TUSK’s location count?

They measure different things. TUSK Practice Sales reported at least 175 dental practice locations sold to DSOs, private equity groups and other acquirers in the first half of 2026, while Levin counts transactions. One platform deal can include many locations, so the two numbers should never be added together or averaged.

How buyers grow through platforms, add-ons and new offices is covered in how DSOs acquire dental practices, and why affiliation counts differ in how many dental practices DSOs own.

Are dental valuations falling as deal volume cools?

For large platforms, yes. Benesch reported large DSO multiples compressing to 9x to 10x EBITDA from 13x to 16x in 2019 to 2021, with smaller practices back at 5x to 6x. TUSK Practice Sales still described practice deals at 5x to 9x or more, while expecting a move toward 4x to 6x ahead.

What does a slower market mean for a seller?

Expect more scrutiny rather than an absence of buyers. TUSK reported that more than 78% of buyers expect a recapitalization within 12 to 36 months and that the range of offers for a single practice keeps widening. Clean financials, a transferable lease and realistic structure terms matter more when buyers are selective.

Financing conditions add to the pace. TUSK’s October 2026 report noted new SBA underwriting rules that took effect on October 1 and a federal funds target range of 3.75% to 4.00%, both relevant to individual buyers who borrow.

Sale clocks by buyer type are in how long a DSO sale takes compared with a private sale, and post-closing commitments in how a work-back period works. Offer structure is covered in how much cash at close to expect, and public-record activity that often precedes a sale on the signals hub.
